- Advised Sienna Real Estate for the Saud Al Rashed family office from Kuwait on the purchase of the retail commercial property at Malchower Chaussee 10. The long-term single tenant for the 14,701 m² space is the Hornbach DIY chain. The building is ideally positioned adjacent to one of Berlin's main traffic arteries and caters to a large catchment area.
- Advised Ephios Luxembourg S.à r.l. (Ephios), an entity controlled by funds managed and/or advised by Cinven, on the financing in relation to its public acquisition offer for all outstanding shares of SYNLAB AG (SYNLAB) not directly held by it.
- Advised Macquarie Asset Management, lead investor in Verkor's Series C financing round, the largest equity raise for a French start-up.
- Advised IDB Invest as purchaser of record in connection with an A/B purchase facility for the sale and purchase of up to US$1.8 billion MPC Securities issued by a segregated fund administered by the Chilean Treasury, as part of a program created under Law No. 21,472 of Chile (the MPC Law) to temporarily shield consumers in Chile from electricity tariff increases. The firm also advised Goldman Sachs Co. LLC, as arranger, sole global coordinator and bookrunner and J.P. Morgan Securities LLC and Itau BBA USA Securities Inc., as bookrunners in connection with the securitization of the MPC Securities and Amicorp Group, in its capacities as onshore administrative agent, onshore verification agent and onshore calculation agent and manager of the issuer of the B-bond.
- Advised the lenders in relation to CBRE Investment Management's new €275 million finance facility for its Pan Europe logistics strategy, structured to become Sustainability-Linked in the course of 2023.
- Advised Invision, a leading European private equity firm, on the fundraising process and oversubscribed closing of its latest €550 million flagship fund, Invision VII.
- Advised BlackRock Long Term Private Capital (BlackRock LTPC) and Creed Chairman, Javier Ferrán on the sale of the luxury fragrance business, Creed, to global luxury group Kering. The all-cash transaction is expected to close in the course of H2 2023, subject to clearance by the relevant competition authorities.
- Advised the European Investment Bank (EIB) on the issuance of its first ever digital Climate Awareness Bond (CAB).
- Advised global private markets firm Partners Group, acting on behalf of its clients, on the acquisition of a leading biogas and biomethane energy platform in Germany ("the Platform") from Energiedenker GmbH & Co. KG. The Platform operates a 60 MW portfolio of.
- Advised EQT Infrastructure on a financing in relation to the acquisition of a majority stake in Trescal, a global leader in calibration laboratories, from OMERS.
- Advises TotalEnergies on its exclusive negotiations with Alimentation Couche-Tard for the setting up of a partnership in Belgium and Luxembourg and the sale of its retail networks in Germany and the Netherlands.
- Advised the European Investment Bank (EIB) on the issuance of its first GBP-denominated natively digital bond, which priced today. The transaction will be the EIB's first digital bond to be issued using a combination of private and public blockchains and its second digitally native bond issuance under Luxembourg law following the EUR100 million fixed rate bond issued on 29 November 2022. Once issued on 2 February 2023, the GBP 50 million, two-year bond, which bears a floating rate of interest, will be registered on a private blockchain operated and accessed via the HSBC Orion Platform, while a public blockchain mirror record provides increased transparency on an anonymised basis. The bond is expected to be admitted to the Luxembourg Stock Exchange's Securities Official List.
- Advised Henley Investment Management ('Henley') and their co-investment partner Invesco Real Estate ('Invesco') on their acquisition of a commercial building in Amsterdam, the Netherlands, from Abrdn. Clifford Chance advised on the due diligence, acquisition and closing of this transaction.
- Advised Münchener Hypothekenbank eG on the refinancing of the Wooden building in the context of the acquisition by the Acron Group of Wooden S.A.
- Advised Société de l'Aéroport de Luxembourg on a cross-border and cross-practice project relating to the installation of a famous brand hotel belonging to Marriott International group, "Moxy Luxembourg Airport" within the future Skypark Business Center.
