Kelly Gregory is a partner in the Corporate group of Clifford Chance's Shanghai Office.
With 20 years of on the ground experience in Clifford Chance's Shanghai office, Kelly Gregory specialises in cross-border mergers and acquisitions, joint ventures, minority investments, disposals, reorganisations and general corporate advisory matters. Her clients include both multinational and Chinese corporations.
Kelly has extensive experience advising international and Chinese clients across a broad range of industries, including consumer goods & retail, energy, technology and industrials (in particular aerospace, automotive and chemicals).
Kelly is ranked as Band 1 in Corporate/M&A by Chambers Greater China Region Guide 2025 and Highly Regarded in Corporate & M&A and Private Equity in China by the IFLR 1000. She has also been inducted to the “Hall of Fame” in M&A in China by the Legal 500.
- Volkswagen Group on its technical collaboration and strategic minority investment in XPENG, a Hong Kong and New York-listed electric vehicle manufacturer headquartered in Guangzhou, China (acting as the international legal counsel)
- Tencent on majority acquisitions and minority investments in the games, technology and fintech sectors in UK, Europe, North America, Latin America and Asia
- Electricite de France (EDF) and EDF Renewables on several joint ventures and acquisitions in China, including in the wind and solar energy sectors (acting as the international legal counsel)
- Arla, a global dairy company headquartered in Denmark, on its strategic alliances with China's leading dairy and food companies, Mengniu Dairy and China National Cereals, Oils and Foodstuffs Corporation (COFCO), including its acquisition of an indirect stake of approximately 6% in Hong Kong-listed Mengniu Dairy, together with brand licensing, supply and technical assistance arrangements with Mengniu Dairy (acting as the international legal counsel)
- Airbus on its aircraft final assembly line joint venture with a consortium of state-owned enterprises in Tianjin, China and related commercial arrangements (acting as the international legal counsel)
