Hannah Ebersole advises clients on environmental, health and safety risks in transactions, as well as environmental regulation. She counsels clients on a broad spectrum of complex corporate transactions, including M&A, capital markets, real estate, and finance matters.
She has experience identifying, evaluating, and communicating environmental, health and safety risks and liabilities, navigating permitting processes, and advising senior management on strategy and communication with regulatory entities.
Hannah's experience includes advising:
- The US Department of Energy’s Loan Programs Office (DOE LPO) on its US$72.8 million partial loan guarantee to finance the development of a solar-plus-energy-storage microgrid on the tribal lands of the Viejas Band of Kumeyaay Indians.
- TRP Energy in its exchange transaction with Diamondback Energy in which it traded 15,000 net acres in the Midland basin for approximately 33,000 net acres in the Delaware basin and US$238 million in cash.
- Callon Petroleum Company in its US$4.5 billion all-stock sale to APA Corporation.*
- Southwestern Energy Co. in its merger with Chesapeake Energy Corp. to create a US$24 billion combined company.*
- TG Natural Resources LLC in its US$2.7 billion acquisition of Rockcliff Energy II LLC, an upstream natural gas company focused on the East Texas Haynesville shale.*
- Clayton, Dubilier & Rice in its US$2.3 billion acquisition of Veritiv.*
- Global Infrastructure Partners in its investment in Rio Grande LNG's US$18.4 billion Phase I development and project financing.*
- BWC Terminal Holdings LLC in its acquisition of Vopak Terminals Savannah Inc.*
- Ares Acquisition Corp., a publicly-traded special purpose acquisition company, in its proposed business combination with X Energy Reactor Co., LLC.*
