Mélissa Kdyem advises on a wide range of international and local complex M&A transactions, including acquisitions, co-investment (minority and majority angles as well as consortium), different types of exits (notably sale auction process and IPO), business combinations and restructurings.
She acts for major private equity houses and corporates. She also acquired a strong expertise in management incentive plans (equity and phantom schemes) and carried interest schemes.
While her practice relates to various sectors, she has a significant experience in healthcare, real estate, infrastructure and TMT sectors.
- Allegro, the most popular shopping platform in Poland and one of the world’s top ten e-commerce websites, on its acquisition of 100% of the shares of Mall Group a.s. and WE I DO CZ s.r.o. from the selling shareholders PPF, EC Investments, and Rockaway Capital for a total consideration of EUR 881 million.
- a consortium led by KKR and also consisting of Teslin on the public offer for all of the issued and outstanding ordinary shares in Accell Group.
- Allegro, Poland’s number one commerce platform and most recognised e-commerce brand, on its PLN 44 billion (USD 11.2 billion) IPO, Warsaw Stock Exchange's largest IPO to date.
- The Allegro IPO deal won EMEA IPO of the year at the International Financing Review Awards 2020.
- KKR and Ontario Teachers' Pension Plan on the acquisition of a 40% interest in Caruna from First Sentier Investors, formerly known as First State Investments.
- KKR on EUR 1.5 billion bolt-on acquisition by Telxius.
- Cromwell European Real Estate Investment Trust ('CEREIT') on the sale of 12 assets across Continental Europe in France, Denmark and the Netherlands for EUR 65.7 million.
- KKR, a leading global investment firm and Reggeborgh on the signing of an agreement with EQT and OMERS, for EQT and OMERS to jointly acquire Deutsche Glasfaser.
