Anja Pfleger Andrade is a counsel in the São Paulo office. She is a finance lawyer with particular experience in capital markets, liability management, banking and structured finance transactions in Latin America.
The clients she advises include the principal Brazilian financial institutions as well as corporates in the energy and sanitation sector. She has led the team on some of the recent high-profile privatizations in Brazil.
- Companhia de Saneamento Básico do Estado de São Paulo (Sabesp), the Brazilian water and waste management company, on its privatization by way of a secondary public offering of 220,470,000 common shares, including an international offering of 1,789,502 American Depositary Shares.
- Eletrobras on the secondary follow-on offering of preferred shares issued by CTEEP – Companhia de Transmissão de Energia Elétrica Paulista, in an aggregate amount of R$2.19 billion (US$398 million).
- Santander Brasil on the first IFC financing in Brazil structured as a capital markets deal. IFC fully subscribed US$250 million social notes issued under Santander Brasil’s MTN program and pursuant to the group’s Green, Social and Sustainability Funding Global Framework
- Centrais Elétricas Brasileiras S.A. - Eletrobras, Latin America's largest utility, as issuer in connection with its international offering and placement of its common shares outside Brazil, including a registered offering of American depositary shares in the United States – the second largest equity offering of the year
- Sabesp on a loan from multinational lender IDB Invest acting as agent for IDB on a R$470,000,000 term loan in June 2022 which was amended and restated in May 2023 to upsize the facility to R$940 million, with R$470 million mobilized with the support of PROPARCO, through a guarantee (which we also assisted with negotiating).
- Eletrosul as borrower and Eletrobrás as guarantor on two credit facility agreements with Citibank N.A. amounting to US$90,000,000. Both credit agreements included a hedging agreement to control exchange rates in respect of the loan advances.
