The new UK securitisation framework – smarter?

The UK is now well advanced in its post-Brexit project of replacing the onshored securitisation regulation with a combination of UK legislation and regulator rulebooks. Our panel – Simi Arora-Lalani, Andrew Bryan, Thea Gausel, Kevin Ingram and Julia Tsybina – discussed the forthcoming new ‘Smarter Regulatory Framework’ UK securitisation regime (or regimes!), highlighted differences between the various sets of rules, and assessed the practical impact on the markets. The panel also discussed the pipeline of changes yet to come to the UK securitisation regulatory landscape.

Cross-border banking into Europe – the closing door

Near-final reforms in CRD VI will create new obstacles for non-EU banks offering their services on a cross-border basis from 2026. Our panel of regulatory lawyers – Marc Benzler, Simon Crown, Laura Douglas, Caroline Meinertz – examined the new cross-border regime in detail, with a focus on scope, potential exemptions and the impact on currently used cross-border arrangements. They also discussed the new rules governing EU bank branches. In particular, they considered from both the bank and customer perspective how to use the new cross-border regime and what measures regulators will expect to be in place when implementing the new rules.

The future of ESG derivatives – sustainability-linked derivatives and lessons learned from other sustainability-linked products

Sustainability-linked products have gone from strength to strength, and there are well-established and widely used principles for sustainability-linked bonds and loans. Attention has recently turned to sustainability-linked derivatives with ISDA publishing a library of standardised clauses to support market participants in exploring these opportunities. In this session, Clifford Chance lawyers Paget Dare Bryan, Caroline Dawson, Matt Dunn, Sarah Lewis, Roger Leese and Angela McEwan looked at how these transactions are developing and how they interact with other sustainability-linked products, as well as some of the regulatory considerations and potential risks to be addressed.
