1. Electronic signature services
1.1 The following terms and conditions govern your use of:
1.1.1 the Adobe Sign site ("Adobe Sign Site") which is operated by Adobe Sign, Inc and its affiliates (together, "Adobe Sign"); providing the "Electronic Signature Services" for Clifford Chance LLP of 10 Upper Bank Street, London, E14 5JJ, United Kingdom, together with its subsidiary undertakings and entities with which it has a formal association ("Clifford Chance", "we", "us" and "our" to be construed accordingly).
2. Warranties and liability
2.1 We do not accept any responsibility for: (i) the operation or functionality of the Adobe Sign Site, or its availability at any given time, or (ii) any error made Adobe Sign in certifying and/or verifying the identity of any signatory, for instance for the purposes of an Advanced Electronic Signature or a QES, or (iii) any malware which impacts systems through use of the Adobe Sign Site.
2.2 We do not make any representation or give any warranty that signature through the Adobe Sign Site will be considered effective, valid, enforceable and/or admissible in any jurisdiction which might be relevant to the transaction.
2.3 Clifford Chance assumes no duty of care or responsibility to any person or entity using Adobe Sign (other than our client(s), to the extent expressly agreed with them) in connection with the execution of any document, including (without limitation) to ensure the legality, validity, enforceability and/or admissibility of electronic signatures in any relevant jurisdiction.
2.4 In this clause 2, references to "We" includes any partner or other representative of Clifford Chance.
3. Use of the electronic signature services
3.1 You will promptly inform us if you become aware: (i) that you have been given access to any part of the Adobe Sign Site in error, or (ii) that any person has affixed, or has attempted to affix, a signature to a document on the Adobe Sign Site on behalf of another person without appropriate authorisation; or (iii) of any other actual or suspected unauthorised or improper use of the Adobe Sign Site.
4. Data protection
4.1 You agree that: (i) we may collect personal data for the purpose of providing the service and communicating with users, (ii) your personal data will be shared with Adobe Sign and to AWS, the company which hosts the Adobe Sign Site, (iii) we will store personal data for up to 180 days following use of the service and (iv) your personal data may be stored in the US, Australia or the European Economic Area. If it is necessary to transfer personal data outside of the country in which it is collected, we will comply with applicable data protection law.
